NorthStar

A product that has the potential to help anyone, who is willing to try it, regain the agency to forge their lives.

All through my day, at the rhythm I choose, it asks me three questions: What am I doing right now? What would I be doing next? How are these related to my short-term or middle-term programs? If everything is in alignment, I earn a star.

I answer in my own words, and I score myself. No machine judges my answers.

It names what takes my time without asking: the Modern-Day Medusa, the endless feeds built to hold my eyes. And it keeps in front of me what I choose to walk toward: my NorthStar.

Each evening I look back on my day, and each new day I build on the one before. What I write is sealed, designed so that only I can read it.

Every three months, I look at where I stand beside where I can be — and see how much closer my three, five, ten and twenty years have come.

It opens only by invitation, from someone already inside.

1. Purpose and Legal Nature of the Program ↑

About the Company and Brand. NightEase Solutions LLC is a mission-driven company dedicated to helping people improve their lives — primarily through systems and methods of education. It advances this mission through The UpWeForge Universe, an ever-expanding brand under which the Company brings to market products that offer real solutions to the real problems people face. As the brand grows, new products are added over time. This Plan governs how independent Affiliates may earn by sharing these products with others.

1.1 Nature. The UpWeForge Affiliate Program (the “Program”) is a single-level, performance-based referral program through which an independent participant (an “Affiliate”) may earn a referral commission solely on bona fide subscription sales of the Company’s digital products to the Affiliate’s own directly-referred customers. The Program is not a multi-level marketing program: it has no downline, no genealogy, no upline, and pays no compensation of any kind for recruiting or enrolling participants.

1.2 Compensation tied to product sales only. Consistent with In re Koscot Interplanetary, Inc., 86 F.T.C. 1106 (1975), and subsequent Federal Trade Commission guidance, an Affiliate’s eligibility to earn and the amount earned are a function exclusively of verified subscription sales to real, end-user customers — never of any entry or “headhunting” fee, the recruitment of participants, or the purchase of inventory.

1.3 Independent-contractor status. Each Affiliate is an independent contractor, not an employee, agent, partner, or joint venturer of the Company, and is solely responsible for their own taxes, withholdings, and expenses. No Affiliate has authority to bind the Company. This Plan states, in writing, how Referral Commissions are computed and paid.

1.4 Free to participate; no inventory. Enrollment as an Affiliate is free of charge — no entry fee, no starter kit, and no purchase required to become an Affiliate. Because the Company’s products are digital subscriptions delivered electronically, there is no inventory to purchase, load, or return; provisions typical of physical-goods plans (the “70% Rule,” “10-Customer Rule,” inventory buy-back) are inapplicable by design.

1.5 Jurisdiction. This Plan and the Program operate within the United States, under U.S. federal law (including Federal Trade Commission authority) and the laws of the United States generally. Any future expansion to other countries will be addressed separately, under the laws of those countries.

2. Definitions ↑

Company — NightEase Solutions LLC, a Wyoming limited liability company; the sole legal entity, owner, and operator of the UpWeForge brand and of all products offered under it.

UpWeForge / The UpWeForge Universe — the brand name under which the Company offers its family of digital products. “UpWeForge” is a brand, not a separate company, subsidiary, or legal entity; the only legal entity is the Company.

Member — an individual holding an active paid subscription to a Company product (the end-user / customer).

Affiliate — a person who has enrolled (at no charge) in the Program to share products and earn referral commissions. An Affiliate is not required to be a subscriber; many Affiliates will also be Members, but the two roles are independent, and holding a subscription is never a condition of earning.

Direct Referral — a Member who subscribes to a specific Product through the Affiliate’s unique referral link for that Product, and is thereby attributed to that Affiliate for that Product.

House Account — a Member who subscribes to a Product without any Affiliate referral. No Affiliate earns on a House Account; 100% of that revenue is the Company’s.

U.S. Median Individual Income — the median annual income of individuals in the United States, as most recently published by the U.S. Census Bureau (currently the figures for calendar year 2024); redetermined once per year upon publication of an updated figure. This is a general-population individual-income figure and is not the median of Affiliates’ commission earnings.

Compensation Cap — the maximum Referral Commission a person may earn, as set under §5.6.

Commissionable Subscription Revenue — the net subscription fees actually received and retained by the Company (net of refunds, chargebacks, reversals, and processor fees) from an Affiliate’s Direct Referrals in a calendar month.

Referral Commission — the amount calculated under §5.

Accrual / Advance — a Referral Commission amount that has been calculated but is not yet Earned under §9; any Accrual paid before it is Earned is an Advance.

Earned — the status a Referral Commission attains only upon satisfaction of all conditions in §9.2.

Recoverable Amount — a commission amount subject to recovery under §10.

Single Level — commissions are earned only on the Affiliate’s own Direct Referrals; the Company pays nothing on referrals made by those referrals (no second or further level).

3. Eligibility and Enrollment ↑

3.1 An Affiliate must (a) be a natural person of the legal age of majority in their jurisdiction (baseline 18); and (b) complete identity verification (KYC) before any payout. No purchase or subscription is required to enroll as an Affiliate or to earn (see §6).

3.2 Enrollment is free. No payment, subscription, purchase, or fee of any kind is required to enroll as an Affiliate or to remain eligible to earn. Any subscription an Affiliate holds is a separate, voluntary purchase of a product they actually use — never a fee to join, and never a condition of earning.

3.3 Consistent with the universe’s anonymity design, an Affiliate participates under an anonymous handle; identity information collected for KYC/tax is held confidentially and used only for legal compliance and payout.

4. The Products ↑

4.1 The Company offers digital subscription products under the UpWeForge brand, each addressing a distinct real-world need and delivering genuine standalone value to its user, independent of the Program.

4.2 Products and prices. Each product — what it is, what it is for, and its price — is described where the Company offers it. This Plan names no product and no price: its structure applies in the same way to every product the Company offers, now or later.

4.3 Additional products under the UpWeForge brand will be offered over time; the current catalog and pricing are maintained in the Company’s published price schedule.

4.4 Every product delivers genuine, independent end-user value; a Member need never become an Affiliate to receive full value from any product.

5. How an Affiliate Earns — The Referral Commission ↑

5.1 Single-level referral commission. A qualified Affiliate earns a Referral Commission equal to fifty percent (50%) of the Commissionable Subscription Revenue generated by the Affiliate’s Direct Referrals, calculated monthly. The remaining fifty percent (50%) is retained by the Company as Treasury revenue.

5.2 One level only. Commissions are paid solely on the Affiliate’s own Direct Referrals. The Company pays no compensation on any subsequent level, on recruitment, on enrollment, or on the mere act of building an organization.

5.3 No rewards for recruiting. No portion of any payment is attributable to recruiting; every dollar of commission traces to a real Member’s paid subscription to a product the Member uses.

5.4 Per-Product attribution; applies at every tier. The fifty percent (50%) applies to Commissionable Subscription Revenue regardless of the product, its price, or any service tier of the Affiliate or of the Direct Referral; there is no level-matching requirement and no cap tied to your own subscription (the income-based Compensation Cap in §5.6 is separate). A Referral Commission is earned only on the specific Product the Affiliate referred, for as long as that subscription continues; referring a Member to one Product does not entitle the Affiliate to any commission on that Member’s subscriptions to other Products (no lifetime override). Each Product’s commission is attributed solely to the Affiliate whose referral link the Member used for that Product. House Accounts — subscriptions that did not originate through any Affiliate’s referral link — earn no commission; the Company retains 100% of that revenue.

5.5 Recurring while the subscription continues. A Referral Commission accrues each month for as long as the Direct Referral maintains an active paid subscription. If the Member cancels, lapses, or is refunded, the commission on that subscription ends accordingly. The Affiliate is compensated only for value the Member continues to choose and pay for — earnings are tied to sustained, genuine use.

5.6 Compensation Cap (anti-runaway control). To keep the Program grounded in genuine product value and to prevent runaway income concentration, the total annual Referral Commission a person may earn is subject to a Compensation Cap. The Cap equals seven (7) times the U.S. Median Individual Income (as defined in §2), redetermined once per year in accordance with that definition. (Illustration only: if the U.S. Median Individual Income is $50,000, the Cap is $350,000 per year.) The Cap applies per person — aggregated across all accounts a person holds — and is enforced at the identity-verified (KYC) payout stage. The Cap is a maximum limitation only and is not a target, projection, or guarantee of any earnings (see §13). The Program is offered in the United States only; should the Company later offer the Program in another jurisdiction, any cap applicable there will be a separately fixed, published figure in that jurisdiction’s own reviewed agreement — never a discretionary range.

5.7 Overflow retained by the Company (Treasury). Any amount a person would otherwise earn above the Compensation Cap is not paid to that person as compensation. Such above-Cap amounts are retained by the Company (NightEase Solutions LLC) in its Treasury and applied at the Company’s discretion to advance its mission — including helping people in lower-income countries access the Company’s solutions. This retention is disclosed here and in the Affiliate Agreement so that each Affiliate understands, before enrolling, that any commission above the Cap is retained by the Company and is outside the scope of any Affiliate’s compensation entitlement.

6. Qualification to Earn (Use Encouraged, Never Required) ↑

6.1 No purchase to qualify. An Affiliate is not required to hold their own subscription in order to earn. Commissions are earned solely on the genuine paid subscriptions of the Affiliate’s Direct Referrals — other real customers who chose to subscribe. Because earning is never conditioned on the Affiliate’s own purchase, no one buys to qualify, and every commission dollar traces to a real end-user’s free choice.

6.2 Use encouraged as a value, not a condition. The Company encourages Affiliates, as a matter of integrity, to use and love what they share — but this is a cultural expectation, not a requirement to earn. Any product an Affiliate purchases and uses reflects the Affiliate’s own genuine demand for the product; consistent with FTC guidance, such personal consumption is distinct from purchases made to qualify for compensation, which the Program does not require.

6.3 Commissions are calculated on a calendar-month basis on Commissionable Subscription Revenue actually received by the Company.

7. Real-Customer Verification & Bona-Fide Sales ↑

7.1 Sales to real end users. Because the Company’s products are digital subscriptions delivered directly by the Company to the subscriber, every commissionable sale is a direct sale to a real, identifiable end-user Member who pays the Company through its payment processor — not a wholesale purchase, inventory load, or intra-network transfer.

7.2 Evidence of genuine use. The Company maintains product-usage and engagement records (metadata such as account activation, active days, sessions, and feature use — not the private content protected by the Company’s sealed-vault design) that provide per-account and aggregate, anonymized evidence that Members genuinely use the products for their own sake. This verification supports the conclusion that Commissionable Subscription Revenue reflects real end-user demand rather than compensation-driven purchasing.

7.3 Two independent safeguards. The Program therefore rests on two independent safeguards: (a) earning never requires an Affiliate’s own purchase (§6.1), and (b) product use is tracked as evidence of real demand (§7.2). Together these ensure compensation is driven by genuine consumption by real customers.

8. How Commissions Are Paid — Split at the Source ↑

8.1 Rails. Member payments are processed by Stripe (money-in). Referral Commissions are split and paid via Stripe Connect to each Affiliate’s Stripe connected account. Stripe, a licensed money transmitter / registered MSB, holds and settles funds.

8.2 The Company neither holds nor distributes the Affiliate’s share. Each subscription payment made by a Member is divided at the payment processor: fifty percent (50%) to the Company’s Treasury, and fifty percent (50%) directly to the referring Affiliate’s own connected account. The Company never receives, holds, controls, or distributes the Affiliate’s fifty percent — the payment processor settles that share directly to the Affiliate; the Company only ever receives its own 50%. An Affiliate must first activate their own connected payment account to receive their share. (See the Company’s Money Transmission Analysis.)

8.3 Currency. Payments and payouts may be denominated in fiat or stablecoin (e.g., USDC) via Stripe’s rails as the Company expands; in all cases Stripe holds and settles the funds.

8.4 Accrue-then-activate. Until the Company receives written legal clearance, Referral Commissions accrue only and no payouts are issued. The Program creates no present entitlement to payment prior to activation.

8.5 KYC / tax. No payout issues before the Affiliate completes identity verification and required tax onboarding (e.g., Form W-9 / W-8 and any Form 1099 reporting).

8.6 Timing (upon activation). Earned commissions for a calendar month are paid the following month, subject to the hold for the refund/chargeback window.

9. When Commissions Are Earned ↑

9.1 Accrual as advance. Referral Commissions accrue as Commissionable Subscription Revenue is received. Until Earned, an accrued amount is a mere expectancy; any amount paid before it is Earned is an Advance recoverable under §10.

9.2 Conditions to be Earned. A Referral Commission becomes Earned only when all of the following have occurred: (a) the underlying subscription payment has been received and retained by the Company beyond the applicable refund and chargeback window; (b) the Affiliate satisfied the qualification conditions of §6 for the applicable month; and (c) the Affiliate is in good standing under the Affiliate Agreement and Policies & Procedures. Amounts not yet Earned are not vested compensation or “earned wages.”

9.3 No entitlement before activation. While the Program is in accrue-then-activate status (§8.4), no Referral Commission is payable, and none shall be treated as Earned for payout purposes, until the Company issues written activation.

10. Commission Recovery — Refunds & Chargebacks ↑

10.1 Recovery of Advances. The Company may recover any Recoverable Amount — a commission attributable to a subscription payment that is later refunded, charged back, reversed, or determined to be fraudulent or non-bona-fide — by offset against accrued or future commissions or by direct repayment.

10.2 Advances only. Because Referral Commissions are not Earned until §9.2 is satisfied, recovery of a Recoverable Amount before it is Earned is the recovery of an unearned Advance, not a deduction from Earned compensation.

10.3 Defined triggers. Recovery is limited to: (a) customer refund; (b) payment chargeback or reversal; (c) subscription cancellation within the refund window; and (d) confirmed fraud or non-bona-fide sale.

10.4 The Affiliate’s share is the Affiliate’s responsibility. When a Direct Referral receives a refund, return, or chargeback, the fifty percent (50%) referral commission already paid to the Affiliate on that transaction must be returned. Because the payment processor settles that share directly to the Affiliate (§8.2), it was paid to and is held by the Affiliate, so returning it is the Affiliate’s responsibility. The Company refunds only the portion it actually received and retained (its own share); it cannot be responsible for money it never received, and it does not front, advance, or cover the Affiliate’s share.

10.5 How the Affiliate’s share is recovered. The Company recovers the Affiliate’s share, at its election, by (a) reversing the split or transfer through the payment processor, clawing the commission back at its source; (b) offsetting against the Affiliate’s current or future commissions or accrued balance; or (c) requiring direct repayment within thirty (30) days of notice. The Affiliate authorizes each method at enrollment; the obligation arises automatically and does not depend on the Affiliate’s consent or continued participation, and any shortfall is a debt owed to the Company.

10.6 Refund limits; non-refundable processing fees. Customer refunds are governed by the Company’s Refund Policy, which limits refunds to the current one-month billing period (prior periods, already used, are non-refundable) and excludes payment-processing fees, which are non-refundable and borne by the customer. The Affiliate’s share subject to reversal is limited accordingly — never more than the commission actually paid on the refunded period.

10.7 Hold / reserve. Referral Commissions may be subject to a hold or reserve period before payout and remain subject to clawback on any later refund or chargeback. This Section operates together with Affiliate Agreement §10.4 and the Refund Policy.

11. Illustration of the Calculation ↑

Mechanics only — not a representation of earnings. Suppose a Member subscribes to a product and is a Direct Referral of an Affiliate. Of each net monthly payment, the payment processor pays 50% to the Company’s Treasury and 50% directly to the referring Affiliate’s connected account. Because the split applies to every product and every price (§5.4) — for example:

Member pays / mo (example)Affiliate share (50%)Treasury share (50%)
$10.00$5.00$5.00
$20.00$10.00$10.00

If three Members each maintain a $20.00 subscription, the split on those subscriptions is $30.00 to the Affiliate and $30.00 to the Treasury each month, for as long as each Member maintains the subscription.

This illustration shows only how the 50% split is computed. It is not a projection or representation of any Affiliate’s actual or expected earnings, which depend on individual effort and many factors beyond the Company’s control (see §13 and the Company’s Income Disclosure Statement).

12. What This Plan Is NOT (Compliance Affirmations) ↑

The Program contains no downline or multi-level compensation; no payment for recruiting or enrolling; no entry, headhunting, or “pay-to-play” fee; no inventory purchase, loading, or autoship-to-qualify; and no income guarantee. It is a single-level referral commission on real product sales to real customers.

13. No Earnings Representations; Earnings Not Guaranteed ↑

13.1 Participation offers the opportunity, not the promise, of income. Individual results depend on individual effort and many factors beyond the Company’s control; most participants should not expect to replace employment income. See the Company’s Income Disclosure Statement.

13.2 An Affiliate shall not make any income, earnings, or lifestyle representation except through the Company’s approved materials, and shall make no claim the Company has not authorized in writing (see the Policies & Procedures).

14. Term and Termination ↑

14.1 At-will. Either party may terminate an Affiliate’s participation at any time, with or without cause, on written notice. The Company may suspend or terminate for violation of the Affiliate Agreement or Policies & Procedures.

14.2 Effect on commissions. On termination, the Affiliate remains entitled to Referral Commissions Earned (§9.2) before the effective date, subject to §10 recovery and, where applicable, activation (§8.4). Unearned Accruals do not vest and are forfeited on termination.

14.3 Effect on referrals. The Affiliate ceases to accrue further commissions on termination; the Affiliate’s Direct Referrals remain the Company’s Members.

15. General Provisions ↑

15.1 Independent contractor (reaffirmed). Nothing herein creates an employment, agency, partnership, or joint-venture relationship.

15.2 Governing law. Governed by the laws of the State of Wyoming, without regard to conflicts-of-law principles (venue/forum as counsel confirms).

15.3 Dispute resolution. The parties will first attempt good-faith internal resolution; unresolved disputes are then submitted to binding arbitration on an individual basis, with a class-action and representative-action waiver, under the rules of a recognized arbitral body (subject to counsel’s confirmation of enforceability and any consumer-arbitration requirements).

15.4 Severability. If any provision is held unenforceable, the remainder stays in full force, and the unenforceable provision is reformed to the minimum extent necessary.

15.5 Entire agreement. This Plan, together with the Affiliate Agreement and Policies & Procedures, is the entire agreement on its subject matter and supersedes all prior understandings.

15.6 Amendment. The Company may amend the Program prospectively on written notice; amendments do not apply to commissions already Earned.

15.7 Waiver. No waiver of any provision is a waiver of any other or of the same provision on another occasion.

15.8 Assignment. An Affiliate may not assign rights or obligations without the Company’s written consent; the Company may assign to a successor or affiliate.

15.9 Notices. Notices are given electronically to the contact on file.

15.10 Headings; survival. Headings are for convenience only. Provisions that by their nature should survive termination (including §§9, 10, 13, 15) survive.

16. Governing Documents ↑

This Plan operates together with the Affiliate Agreement and Policies & Procedures, which control promotion (approved materials only), conduct, confidentiality, and anonymity. Nothing in this Plan is legal, tax, or financial advice to any Affiliate.
