NorthStar

A product that has the potential to help anyone, who is willing to try it, regain the agency to forge their lives.

All through my day, at the rhythm I choose, it asks me three questions: What am I doing right now? What would I be doing next? How are these related to my short-term or middle-term programs? If everything is in alignment, I earn a star.

I answer in my own words, and I score myself. No machine judges my answers.

It names what takes my time without asking: the Modern-Day Medusa, the endless feeds built to hold my eyes. And it keeps in front of me what I choose to walk toward: my NorthStar.

Each evening I look back on my day, and each new day I build on the one before. What I write is sealed, designed so that only I can read it.

Every three months, I look at where I stand beside where I can be — and see how much closer my three, five, ten and twenty years have come.

It opens only by invitation, from someone already inside.

for Members who create Add-on Modules, products and services offered in UpWeForge The Universe

Between NightEase Solutions LLC (the "Company"), the entity

operating UpWeForge The Universe, and the Member who submits a creation (the "Creator"). Effective date: 1 October

2026. Written to the norms of the published creator and developer agreements of established US marketplaces

(Apple, Google Play, Shopify, Atlassian, Gumroad, Envato), adapted to the economy of caring and sharing.

1. What this covers ↑

1.1 A Creation is a digital Add-on Module, product or service a Creator submits and the Company admits under the

Module Charter. The Creator participates under their anonymous mask; identity and tax information are given only to the

payment processor for payouts and legal compliance, and are never shown in the Universe.

1.2 For now, the Program is offered in the United States only. Other countries will be added gradually, each with its

own localized terms.

2. Ownership and license ↑

2.1 The Creator keeps ownership of the Creation. The Company keeps ownership of the Universe, its products, its brand

and its data.

2.2 The Creator grants the Company a non-exclusive, worldwide, royalty-free license to host, reproduce, display,

market, sell and deliver the Creation to Members during this Agreement and a 30-day wind-down after it ends. Members'

existing access survives as stated in §7.

3. The Creator's promises ↑

3.1 The Creator has every right needed to the Creation — its code, content, data and any AI models it uses — and it

infringes no one's rights. 3.2 It contains no malware and complies with every open-source license it uses. 3.3 Its

listing is accurate. 3.4 It complies with the law. 3.5 Member data is never used to train, fine-tune or improve any AI

system without that Member's explicit written consent.

4. Admission, standards and removal ↑

4.1 A Creation is listed only if it passes the Module Charter's published tests: philosophy, value, privacy, economics,

plug and play. 4.2 The Company decides admission, and may remove or suspend a Creation at any time, including for legal

risk, and will give the Creator the true reason. 4.3 Prohibited: illegal, hateful, sexual or regulated content, content

aimed at children under 13, and any mechanic that extracts attention (feeds, infinite scroll, streak-shaming).

5. Price and the economy of caring and sharing ↑

5.1 Price. The Creator proposes a price; the Company sets it at admission within its guidelines, so that the Creation

earns a healthy margin.

5.2 Net Profit for a period = price paid, less refunds, chargebacks and taxes collected, less payment-processing fees,

less the Creation's Running Cost (third-party services it uses, by the published formula recorded at admission and

shown to the Creator). A Creation whose cost grows with use carries the per-Member monthly usage cap recorded at

admission, so its cost stays bounded. The formula is public and auditable: every party can see how Net Profit is reached.

5.3 The shares. Net Profit is shared equally among the parties who put in the effort: one third (1/3) to the

Creator, one third (1/3) to the Affiliate who referred the Creator into the UpWeForge universe (the Creator's Helper),

and one third (1/3) to the Company's Treasury (Modules Addendum §2.3(b)). The buying Member's referring Affiliate earns

no share of a Creation. Where there is no Helper, or the Helper is a Company Account, that third goes to the Treasury; any

indivisible cent goes to the Treasury. For a collection of works by many Creators, the shares are pooled and paid as the

Modules Addendum §2.6 and §2.7 provide.

5.4 No self-dealing. No share arises from the Creator's own purchase, from accounts the Creator controls or funds, or

from manipulated purchases or reviews. Associated accounts are counted as one.

5.5 These shares change only prospectively, on at least 30 days' written notice.

6. Payouts, refunds and taxes ↑

6.1 Payouts are made as the Modules Addendum §2.7 and §2.8 provide (quarterly for a collection; otherwise monthly)

to the Creator's verified connected account, for shares at least 30 days old (the refund window), once they reach

$10; smaller amounts carry over. The Company may hold amounts reasonably

suspected of fraud, and a reserve after termination to settle refunds.

6.2 Refunds follow the Company's Refund Policy. A refund or chargeback reverses the Creator's share, by offset against

later shares.

6.3 Taxes. The Company is the merchant of record and collects and remits sales tax where it applies. The Creator

provides a W-9 (US) through the processor, is responsible for their own income taxes, and receives the tax forms the law

requires. Withholding is applied where the law requires it.

7. Support, updates and retiring a Creation ↑

7.1 The Creator provides support to Members: a reply within 3 business days, within 24 hours for anything that

breaks the Creation or risks Members' data. 7.2 The Creator keeps the Creation working with the Universe as it changes.

7.3 Retiring a Creation takes at least 30 days' notice to its Members; nothing is charged after it ends, and the

unused part of a period already paid is refunded (the Creator's share of that refund is offset). Where removal is for a

legal reason caused by the Creator, the Creator bears the refunds.

8. Members' data and privacy ↑

8.1 The Creator processes Member data only to run the Creation, collects the minimum, keeps it only as long as needed,

and protects it with industry-standard security. 8.2 A breach involving Member data is reported to the Company within

24 hours. 8.3 Any Creation that sends Member data outside the Member's device is off by default and enabled only by

the Member's explicit choice after reading its privacy sheet. 8.4 Voice, image or other biometric data requires the

Member's separate written consent, a published retention and deletion policy, deletion when the Member removes the

Creation, and compliance with biometric-privacy laws (such as Illinois BIPA and the Texas and Washington laws). No Member

data is shared with a third-party AI service without the Member's explicit consent.

9. Responsibility ↑

9.1 The Creator indemnifies the Company against claims arising from the Creation, its infringement of rights, the

Creator's breach of this Agreement or of law, and data incidents caused by the Creation. 9.2 The Company's total liability

to the Creator is limited to the Creator's shares paid in the prior 12 months; neither party is liable for indirect or

consequential damages.

10. Relationship ↑

The Creator is an independent contractor — not an employee, agent, partner or joint venturer of the Company.

11. Ending this Agreement ↑

11.1 Either party may end it on 30 days' notice; the Company may end it at once for breach, fraud, or sanctions

reasons. 11.2 Ownership, shares already earned, refund offsets, indemnity, the limits of responsibility and governing law

survive.

12. Law and the rest of the world ↑

12.1 Governing law and disputes are those of the Terms of Service: the laws of the State of Wyoming; a written notice

and at least 30 days of good-faith informal resolution first; then binding individual arbitration under the Federal

Arbitration Act, as the Terms of Service set out. 12.2 The Creator represents they are not in a sanctioned country or on a sanctions list, and

complies with US export laws. 12.3 Payouts are in US dollars. 12.4 Spanish-language and localized versions will follow as

the Universe opens in other countries; where local consumer law gives Members more, it applies.

13. General ↑

13.1 Each party may name the other's product in marketing, within brand guidelines; the Creator may say their Creation is

offered in UpWeForge The Universe. 13.2 The Company may update this Agreement on 30 days' notice; continuing to offer the

Creation after that is acceptance. 13.3 Nothing here allows any statement about income; the Income Disclosure Statement

governs any mention of earnings.
