ADDENDUM — NORTHSTAR

to the UpWeForge Terms of Service, Privacy Policy, Refund Policy, Automatic-Renewal Disclosure, Affiliate Agreement, and Affiliate Compensation Plan (v1.5)

Issued 26 September 2026 by NightEase Solutions LLC (the "Company"), the entity operating the UpWeForge universe,

under Compensation Plan §15.6 (prospective amendment on written notice) and the change clauses of each document.

Effective date: 1 October 2026.

This Addendum does not replace any of the documents above. They remain in force exactly as finalized on

3 September 2026. Where this Addendum speaks, it controls for NorthStar; everywhere else, the documents control.

1. NorthStar is a Product ↑

1.1 NorthStar (northstar.upweforge.com) is a Product of the UpWeForge universe under every document above. It is a

personal focus-and-agency practice: the Member plans their day, is asked at unexpected moments what they are doing and

how it helps them grow, scores themselves, and may share, under their anonymous mask, with a community of Members.

1.2 Price: $22 per month (United States dollars), plus any applicable taxes — as described where NorthStar is

offered (Compensation Plan §4.2–4.3).

1.3 Seven free days. A NorthStar membership begins with seven (7) days during which no charge is made. Cancelling

within those seven days means nothing is ever charged, and the membership ends when those seven days end.

1.4 Invitation only. A person joins NorthStar only through an invitation link of an existing Member or Affiliate.

2. Joining as an Affiliate only ↑

2.1 A person invited may join as an Affiliate only: free, with no card, no subscription, and no purchase of any kind

(Affiliate Agreement §3; Compensation Plan §3.2 and §6.1). An Affiliate-only account sees the community's arrivals, a

glimpse of what Members share, Members' testimonies, and its own invitation link; it does not include the Product.

2.2 An Affiliate-only account may begin a membership at any time. Doing so is a separate, voluntary purchase and gives

no qualification or compensation advantage (Compensation Plan §6).

2.3 Commissions arise only from paying Members. An Affiliate earns nothing when a person they invite joins as an

Affiliate; a Referral Commission arises only from the real, paid NorthStar subscription of a Direct Referral, for as

long as that subscription is paid (Compensation Plan §5.1–5.4).

3. How Referral Commissions are paid for NorthStar (replaces, for NorthStar, Plan §11, §8.1 and §8.4) ↑

3.1 Rails. Member payments are received by the Company through Stripe. The Company pays each Referral

Commission from its own funds, as compensation for the Affiliate's referral services, by transfer through

Stripe Connect to the Affiliate's verified connected account, where Stripe settles and deposits it. The Company

does not hold funds belonging to any Affiliate; until paid, a Referral Commission is an accrued obligation of the Company

under the Plan (§9.1).

3.2 Activation. Publication of this Addendum is the Company's written activation of payouts for NorthStar under

Compensation Plan §9.3 and §8.4 and Affiliate Agreement §11.2.

3.3 Hold and timing. A Referral Commission is Earned (Plan §9.2) once the underlying payment is at least thirty (30)

days old without refund or chargeback (the hold of the Refund Policy). Earned commissions are paid in the Company's

monthly payout run, held between the 5th and the 9th of each month. An amount under ten dollars ($10) carries to

the next month.

3.4 Commissions of an Affiliate who is also a Member. Where an Affiliate also holds a NorthStar membership, the

Company pays that Affiliate's Earned commissions first as a credit toward the Affiliate's own next NorthStar

charges, up to one month's price, and the remainder by transfer (§3.1). The credit is payment of Earned commissions

at full value — not a discount, not a purchase requirement, and no qualification or compensation advantage.

3.5 Recovery. A Referral Commission attributable to a payment later refunded, charged back, or reversed is recovered

under Plan §10.1 and Affiliate Agreement §11.6 — first by offset against the Affiliate's next commissions.

3.6 Company Accounts (accounts held by the Company itself) earn no Referral Commission; any share they would earn is

retained by the Company. Sham, duplicate, Affiliate-funded, or manipulated accounts are noncommissionable (Plan §10.3(d)).

3.7 The Compensation Cap (Plan §5.6) applies unchanged, per person, across all accounts.

4. NorthStar's automatic-renewal disclosure (the Automatic-Renewal Disclosure, applied to NorthStar) ↑

Shown before payment, in visual proximity to the button that begins the membership:

Before I begin — this is a recurring subscription.

• What I am getting: NorthStar, a personal practice for focusing my time on what helps me grow, with the

community of NorthStar Members under anonymous masks.

• Price: $22 per month, plus any applicable taxes.
• Billing: my card is not charged for the first seven (7) days. It is charged on [first payment date], seven

days after I begin, and automatically each month on that same date thereafter. Where a month has no such date, it

is charged on the last day of that month.

• Automatic renewal: my membership renews automatically each month at the then-current price and continues until

I cancel.

• Access on cancellation: cancelling stops future charges at once; I keep access through the end of the period

already paid for. If I cancel during my first seven days, I am not charged, and my membership ends when those seven

days end. No advance notice is required — cancellation is effective when received.

• Cancel anytime: in NorthStar, My settings → Cancel my membership. No penalties, no hurdles.
• Notices: any renewal or price-change notice required by law is sent before it takes effect.
• Help: the contact in the Terms of Service.

4.1 The box is unchecked by default, separate from acceptance of the Terms, and required before payment. The Company

keeps a record of the disclosure shown and the consent given, with the date and time.

4.2 After payment, a retainable acknowledgment restating these terms, the cancellation method, and the payment

authorization is provided (the payment receipt and its footer).

4.3 A reminder is shown before the first charge after the seven free days.

5. Refunds for NorthStar ↑

The Refund Policy applies unchanged: subscription payments are not refunded; cancelling stops all future charges and

access continues through the period already paid; erroneous or duplicate charges are refunded in full; goodwill refunds

remain at the Company's discretion; statutory rights are honored.

6. Privacy for NorthStar (the Privacy Policy, applied to NorthStar) ↑

6.1 What a Member writes in NorthStar is sealed on their own device with their passphrase before it is stored, using

encryption designed so that the Company cannot read it.

6.2 Readable by the Company: the Member's anonymous mask, what the Member chooses to share with the community (after

review), and the membership and commission records needed to operate and to comply with law.

6.3 Payment details are handled by Stripe; the Company never receives card numbers. Identity and tax information of

Affiliates are collected by Stripe for payouts (Affiliate Agreement §11.8).

7. Order of precedence ↑

For NorthStar only, this Addendum controls over any conflicting term in the documents above. In all other respects,

those documents control.

Clerical correction, 28 September 2026: the references to the Compensation Plan now follow the numbering of its signed text, and §1.2 points to where the price is described (Compensation Plan §4.2–4.3). The meaning is unchanged.
